Definitions
Glue Catering & Events V.O.F. is located in Rotterdam and registered with the Chamber of Commerce under number 67843484.
The client is the party who has entered into the rental and/or assignment, or on whose behalf the rental and/or assignment has been made.
The Parties are the Client and Glue Catering & Events together.
Applicability of Terms and Conditions
These terms and conditions apply to all quotations, offers, and agreements with regard to the services to be provided and/or goods to be delivered by Glue Catering & Events in the broadest sense of the word, as well as the provision of personnel, spaces, materials, and the like.
Glue Catering & Events is authorized to use third parties in the execution of agreements with the client. These terms and conditions shall apply in that situation as well.
Agreement
An agreement with Glue Catering & Events comes into effect at the moment that an assignment or order from the client is received by Glue Catering & Events. Glue Catering & Events may send a confirmation of the assignment to the client, which sets out the agreed terms. Glue Catering & Events may terminate an agreement if the client does not comply with the terms and conditions or has not complied with them in the past. In that case, Glue Catering & Events shall inform the client of this within 14 days of the conclusion of the agreement.
The client and Glue Catering & Events expressly agree that a valid agreement is concluded by using electronic forms of communication as soon as the condition mentioned above has been met. The absence of an ordinary signature does not detract from the binding force of the offer and its acceptance. The electronic files of Glue Catering & Events serve as a presumption of evidence, insofar as the law allows.
Staff
When hiring staff, a minimum purchase of 4 working hours per person applies.
Transportation costs
For orders under 20 people within a 20 km radius, a fee of € 0.50 per kilometer will be charged, unless otherwise agreed upon by the parties.
Goods and services to be delivered
The execution of the agreement between the client and Glue Catering & Events is based on the quantities and circumstances provided by the client.
If the information provided by the client does not correspond to reality, Glue Catering & Events is not liable for any consequences.
Barbecues and/or rental equipment must be stored dry in case of overnight storage.
Change of number of persons
You may change the number of persons specified by you up to five working days before the relevant event, free of charge, provided that it does not exceed 20% of the original number.
This does not apply if otherwise agreed upon in writing.
Permits
If obtaining permission from a third party is necessary for the execution of the agreement, the client shall in a timely manner and at their own expense obtain the required permission. The client shall provide written proof of this to Glue Catering & Events. Failure to obtain the required permissions is not a reason for canceling the assignment.
Corkage fee
If the customer consumes drinks that are not provided by Glue Catering & Events in their premises, the client owes a corkage fee per consumed bottle. If the customer consumes foods that are not provided by Glue Catering & Events in their premises, the client owes a kitchen fee. The above-mentioned amounts are agreed upon in advance or, in the absence of prior agreement, reasonably determined by Glue Catering & Events.
Deposit
Upon confirmation, you will receive an invoice for a deposit of 60% of the total amount, which must be credited to an account number specified by Glue Catering & Events, with the corresponding reference, 5 working days before the execution of the assignment.
All prices mentioned are exclusive of 9% VAT (food) or 21% VAT (logistics/mastics) unless otherwise indicated.
Payment
Invoices must be paid within 14 days of the invoice date. Payment shall be made to a bank account specified by Glue Catering & Events with the corresponding reference number. If the client does not pay within the agreed period, Glue Catering & Events is entitled to charge interest at a rate of 1% per month from the day the client is in default, with a portion of a month being considered a full month.
Orders up to € 350.00 are paid in cash (exact amount) upon delivery, unless otherwise agreed.
Complaints about invoices must be submitted in writing or by telephone within 14 days of receipt of the invoice.
Collection
If the client fails to comply with the payment terms, Glue Catering & Events will take collection action. The resulting costs shall be borne by the client.
Cancellation
If the client cancels the assignment before the agreed date, the following will be charged to the client by Glue Catering & Events:
- within 5 working days > 15%
- within 4 working days > 30%
- within 3 working days > 50%
- within 2 working days > 75%
- within 1 working day > 100%
Force Majeure
In the event of force majeure, Glue Catering & Events has the right, after notifying the client, to cancel its obligations to perform the agreement, to the extent not yet executed, in whole or in part, without judicial intervention being required. Force majeure shall in any case include:
- the complete or partial failure, for whatever reason, of installations necessary for the execution of an agreement
- hindering government regulations and requests
disturbances - strikes
- disruptions in the regular supply of goods to be delivered by third parties, as well as water and energy supplies
- fire or accidents
- transport impediments
- seizure of any kind or for any reason
- any disruption in regular production
- any other event that cannot be considered a normal commercial risk.
Loss / Shortage
If rented or provided goods are missing or damaged, they will be charged to the client.
Liability
Glue Catering & Events is only liable for any damages suffered by the client if and to the extent that such damages are caused by intent or conscious recklessness. If Glue Catering & Events is liable for any damages, it is only liable for direct damages resulting from or related to the performance of an agreement. Glue Catering & Events is never liable for indirect damages, such as consequential damages, loss of profit, loss of savings or damage to third parties. If Glue Catering & Events is liable, this liability is limited to the amount paid out by a (professional) liability insurance policy and in the absence of (full) payment by an insurance company of the damage amount, liability is limited to the (part of the) invoice amount to which the liability relates. All images, photos, colors, drawings, descriptions on the website or in a catalog are only indicative and are approximate and cannot give rise to compensation and/or (partial) termination of the agreement and/or suspension of any obligation.
Any right of the client to compensation from Glue Catering & Events will in any case expire 12 months after the event from which the liability directly or indirectly arises. This does not exclude the provisions of Article 6:89 of the Dutch Civil Code.
Refusal or Termination of Orders and/or Assignments
Glue Catering & Events reserves the right to refuse or terminate orders whose content is in violation of any legal or regulatory provision given by any government agency, even if the order has already been confirmed or execution of the order has begun. Glue Catering & Events has the right at all times to refuse orders whose content, in its judgment, is in conflict with its good name or interests, or to immediately terminate an order whose execution has already begun, to the extent that this becomes apparent at a later time. In the event of the above, Glue Catering & Events has the right to receive full compensation for costs incurred in preparing and executing the order and is not liable for any damages resulting from failure to perform or premature termination of the order and/or assignment.
Agreements
Agreements or contracts made by the client with subordinate staff of Glue Catering & Events are not binding on the latter, to the extent that they have not been confirmed in writing. Subordinate staff in this regard are considered to be all employees and staff who do not have procuration and do not have written authorization from the owner.
Rights
Nothing obtained by the client from Glue Catering & Events may be reproduced by means of printing, photocopying, video or any other means. Glue Catering & Events reserves all rights at all times.
The client's rights from an agreement between the parties cannot be transferred to third parties without the prior written consent of Glue Catering & Events. This provision constitutes a clause with proprietary effect as referred to in Article 3:83, second paragraph, of the Dutch Civil Code.
These general terms and conditions, as well as offers and agreements to which they fully or partially relate, are governed exclusively by Dutch law.
The Dutch court in the district where Glue Catering & Events is established has exclusive jurisdiction to hear any disputes between the parties, unless the law mandatorily prescribes otherwise.
